Special General Meeting

Notice is hereby given of a Special General Meeting of the Society called by the Executive Board of the Society under Rule 11.4 of the Constitution of the Society. (Only current members, as of the 31st August 2020, are entitled to vote.)
The Matters to be discussed and voted on at the Special General Meeting shall be :
1. Resolution to Support the Establishment of a Charitable Trust      
That the Executive Board be authorised to proceed to establish an Incorporated Charitable Trust under the Charitable Trusts Act with the same community objectives and vision as the Society and to register that Trust under the Charities Act for the purpose of taking over the operations and assets of the Society in the event of a winding up of the Society.

2. Resolution to Alter the Rules relating to Voting Rights on Winding Up
If the meeting passes the resolution to support the Establishment of a Charitable Trust a further resolution will be put to the meeting to alter the rules in accordance with Clause 23 of the Constitution by adding a new clause 24.3 as follows:
“24.3  Notwithstanding anything else in these rules regarding voting rights, for the purposes of any General Meetings to consider winding up the Society,  only those members present who were registered members as of 31st August 2020 shall be entitled to vote on the winding up resolutions. The register of members maintained by the Secretary under rule 9.5.2 shall be conclusive evidence of membership for these purposes.
